10.3 In the event that either party defaults in any obligation under this Agreement, the other party shall have the right to terminate this Agreement on thirty (30) days’ prior notice unless the other party remedies such default within said thirty (30) days.

10.4 In the event XX hereafter ceases to own or control, directly or indirectly, more than 50% of the stock having right to vote for directors of the COMPANY, YY shall have the right to terminate this Agreement on written notice thereof to COMPANY.

10.5 In the event XX hereafter ceases to own or control, directly or indirectly, at least 50% of the stock having the right to vote for directors of the COMPANY, this Agreement shall automatically terminate.

10.6 In the event that any asset or facility of COMPANY, the operation of which include <>s a licence under YY’s patents, patent rights or technical information made available under this Agreement, is transferred in any manner to any third party, this Agreement shall terminate automatically as respects such asset or facility so transferred. In such event, the transferee of any such asset or facility shall not have any rights to use technical information provided to COMPANY hereunder, nor any licence for the use of YY’s patents or patent rights.

TRADUCCIÓN JURÍDICA AL ESPAÑOL

10.3 En el supuesto de que alguna de las partes incumpla cualquier obligación del presente Contrato, la otra parte tendrá derecho a rescindir este Contrato mediante notificación con una antelación de treinta (30) días, salvo que la otra parte subsane dicho incumplimiento dentro de dicho plazo de treinta (30) días.

10.4 En el supuesto de que XX deje, con posterioridad al presente, de poseer o controlar, directa o indirectamente, más del 50% del capital con derecho a voto de los consejeros de la SOCIEDAD, YY tendrá derecho a rescindir el presente Contrato mediante notificación escrita de lo anterior a la SOCIEDAD.

10.5 En el supuesto de que XX, con posterioridad al presente, deje de poseer o controlar, directa o indirectamente, al menos el 50% del capital con derecho a voto de los consejeros de la SOCIEDAD, este Contrato se terminará automáticamente.

10.6 En el supuesto de que cualquier activo o instalación de la SOCIEDAD, cuyo funcionamiento requiera una licencia de las patentes, derechos sobre patentes o información técnica de YY puestos a disposición en virtud del presente Contrato, sea transmitido de cualquier manera a un tercero, el presente Contrato se terminará automáticamente respecto a dicho activo o instalación transmitido. En este caso, el adquirente de dicho activo o instalación no tendrá derecho a usar la información técnica proporcionada por la SOCIEDAD en virtud del presente, como tampoco ninguna licencia para el uso de las patentes o derechos sobre patentes de YY.
